1. Acceptance of Terms

By accessing or using StatClash ("Platform", "Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you and 17563582 Canada Corporation. By creating an account, participating in contests, or using any features of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.

2. Nature of the Platform

StatClash is a skill-based sports prediction platform that offers contests where users compete based on their predictive accuracy. All contests are determined solely by user skill and predictive accuracy under fixed, pre-disclosed scoring rules.

Important Clarifications:

• •The Platform does not offer gambling, betting, or games of chance
• •The Platform does not set, adjust, or manipulate odds
• •The Platform does not participate in contests or influence outcomes
• •All scoring rules are transparent and disclosed before contest entry
• •Winners are determined solely by objective performance metrics

3. Eligibility

To use the Platform, you must meet the following eligibility requirements:

• •You must be at least 18 years of age or the age of majority in your jurisdiction
• •You must be located in a jurisdiction where skill-based contests are legally permitted
• •You must have the legal capacity to enter into binding agreements
• •You must not be prohibited from using the Platform by applicable law
• •You must provide accurate and truthful information when creating your account

If you do not meet these requirements, you must not use the Platform. We reserve the right to verify your eligibility at any time and may suspend or terminate accounts that do not meet these requirements.

4. User Accounts

Account Creation: To use certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Security: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• •Immediately notify us of any unauthorized use of your account
• •Accept responsibility for all activities conducted through your account

One Account Per User: You may only maintain one account on the Platform. Creating multiple accounts is prohibited and may result in immediate termination of all accounts.

5. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• •Using bots, automation, scripts, or any unauthorized third-party software
• •Creating multiple accounts or attempting to circumvent account restrictions
• •Collusion, data scraping, or any form of cheating
• •Using insider information or non-public information to gain an unfair advantage
• •Interfering with or disrupting the Platform's operations or security
• •Harassing, threatening, or abusing other users
• •Violating any applicable laws or regulations

Violations of these prohibitions may result in immediate account suspension, contest disqualification, forfeiture of prizes, and legal action. We reserve the right to monitor activity patterns to ensure fair play.

6. Fees & Payments

Entry Fees: Some contests may require a fixed entry fee, which will be clearly disclosed before you enter. All fees are for participation in a skill-based contest, not wagering or gambling.

Payment Processing: Payments are processed through secure third-party payment processors (e.g., Stripe). We do not store your full payment credentials. By making a payment, you agree to the terms and conditions of the payment processor.

Refunds: Entry fees are generally non-refundable once a contest has begun. Refunds may be considered on a case-by-case basis for technical issues or Platform errors. Refund requests must be submitted within 48 hours of the contest start time.

Prize Distribution: Prizes will be distributed according to the contest rules. Prize amounts and distribution timelines will be clearly disclosed before contest entry. We reserve the right to verify winners' eligibility before prize distribution.

7. Intellectual Property

Platform Ownership: The Platform, including all content, features, functionality, logos, trademarks, and software, is owned by 17563582 Canada Corporation and is protected by Canadian and international copyright, trademark, and other intellectual property laws.

Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes in accordance with these Terms.

User Content: You retain ownership of any content you submit to the Platform. By submitting content, you grant us a worldwide, royalty-free, perpetual license to use, reproduce, modify, and display such content for the purpose of operating the Platform.

8. Account Termination

Termination by You: You may terminate your account at any time by contacting us or using the account deletion feature in your account settings.

Termination by Us: We reserve the right to suspend or terminate your account immediately, without prior notice, if you:

• •Violate these Terms or any applicable laws
• •Engage in fraudulent, abusive, or illegal activity
• •Provide false or misleading information
• •Fail to pay required fees

Upon termination, your right to use the Platform will immediately cease. We may delete your account and data, subject to our Privacy Policy and applicable legal requirements.

9. Limitation of Liability

Platform Availability: The Platform is provided "as is" and "as available." We do not guarantee that the Platform will be uninterrupted, error-free, or free from viruses or other harmful components.

Third-Party Content: The Platform is not responsible for:

• •Sporting event outcomes, delays, or cancellations
• •Data delays or inaccuracies from third-party sources
• •Technical issues beyond our reasonable control
• •Loss of data, profits, or other indirect damages

Maximum Liability: To the maximum extent permitted by law, our total liability for any claims arising from your use of the Platform shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or through a prominent notice on the Platform.

Your continued use of the Platform after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Platform and may terminate your account.

11. Dispute Resolution

Informal Resolution: Before initiating any formal dispute, you agree to contact us at Yonas.yen@gmail.com to attempt to resolve the dispute informally.

Governing Law: These Terms are governed by the laws of Canada and the province in which 17563582 Canada Corporation is incorporated, without regard to conflict of law principles.

Jurisdiction: Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Canada, unless otherwise required by applicable law.

12. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the Platform.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
